Co-operative Accounts
Accounts that respect co-operative principles and satisfy the FCA — prepared by a team that understands member-owned businesses.
Co-operatives are not ordinary companies, and their accounts should not be treated as if they were. Registered societies answer to the Financial Conduct Authority under the Co-operative and Community Benefit Societies Act 2014, report to members rather than shareholders, and often operate share interest and dividend arrangements that standard accountants rarely see. We prepare accounts for worker, consumer, multi-stakeholder, housing and agricultural co-operatives, keeping you compliant while reflecting how your co-op really works.
Who We Work With
- Worker co-operatives owned and controlled by their employees - Consumer co-operatives owned by their customers - Multi-stakeholder co-operatives combining several member groups - Housing co-operatives providing homes for members - Agricultural co-operatives pooling members' produce, purchasing or machinery
Whether you are registered as a society with the FCA or structured as a co-operative company, we tailor the accounts to your rules and your members.
The Legal Framework
Most UK co-operatives are registered societies under the Co-operative and Community Benefit Societies Act 2014 and are regulated (for registration purposes) by the FCA. That brings specific obligations: - An annual return and accounts filed with the FCA each year - Accounts prepared under UK GAAP (FRS 102, or FRS 105 where eligible) - Audit or independent scrutiny requirements set by the Act and your society's rules — many societies can disapply the full audit requirement by passing a members' resolution, subject to size limits - Proper treatment of member share capital, share interest and dividends
We check your society's rules alongside the legislation, so your accounts meet both.
What We Deliver
- Complete annual accounts preparation reflecting co-operative principles - FCA annual return preparation and filing support - Member-facing reporting that is clear at the AGM, not just technically correct - Advice on audit exemption and independent scrutiny options - Treatment of member share accounts, interest on share capital and distributions - Ongoing bookkeeping, VAT and payroll support from the same UK-based team
Why Specialist Knowledge Matters
Co-operative accounts fail reviews for predictable reasons: member share capital treated like ordinary equity, distributions misclassified, society rules ignored when setting the scrutiny level, or FCA filings missed because they do not follow the Companies House calendar. Because we work across societies, co-operatives and mutuals, we know the traps — and our integrated tax team makes sure corporation tax treatment of share interest and distributions is handled correctly too.
