Micro-entity accounts, prepared under FRS 105, are the lightest reporting regime in UK company law: a simple balance sheet and profit and loss account, minimal notes, no directors' report and no cash flow statement. Since April 2025 the qualifying thresholds have risen by around 50% — up to £1 million turnover — so many companies that used to prepare small company accounts can now step down to the micro regime. Micro-entity Eligibility

For financial years beginning on or after 6 April 2025, your company qualifies as a micro-entity if it meets at least two of the following: - Turnover: £1 million or less - Balance sheet total: £500,000 or less - Average number of employees: 10 or fewer

The criteria normally need to be met for two consecutive years, and some entities — including charities and certain regulated businesses — cannot use the regime at all. Because the thresholds rose sharply in April 2025, it is worth rechecking your status even if you did not qualify before. We do that check as standard.

When Micro Accounts Are the Wrong Choice

FRS 105 is not automatically best just because you qualify. If you are seeking bank funding, taking on credit from suppliers, courting investors or preparing to sell, the bare micro balance sheet can work against you — credit scorers and buyers dislike blanks. Property-owning companies also lose the ability to show assets at market value. In those cases FRS 102 Section 1A, filed filleted, keeps public disclosure modest while giving stakeholders a proper picture. We advise honestly on which regime serves your plans.

Does my company qualify as a micro-entity?
You qualify if, for financial years beginning on or after 6 April 2025, you meet at least two of: turnover £1 million or less, balance sheet total £500,000 or less, and 10 or fewer employees — generally for two years running. Charities and certain regulated entities are excluded regardless of size. We confirm your status each year before preparing the accounts.
Should I use micro-entity accounts or small company accounts?
Micro accounts (FRS 105) are the cheapest and most private, but show lenders, credit agencies and buyers almost nothing, and prohibit property revaluations. Small company accounts under FRS 102 Section 1A cost a little more but present the business far better where funding, credit terms or a sale are on the horizon. We will recommend the regime that fits your plans, not just your size.
What appears on the public record at Companies House?
For a micro-entity filing the minimum, only the short-form balance sheet and its brief footnotes are public — no profit and loss account, no turnover, no directors' report. Your competitors learn very little. The full accounts still go to HMRC with your corporation tax return, as the law requires.
Does a micro-entity need an audit?
No — micro-entities sit within the small companies regime and are normally exempt from statutory audit, unless the company is part of an ineligible group, operates in a regulated sector, or shareholders holding at least 10% formally request one. For almost all micro companies, no audit is needed.
When are micro-entity accounts due, and what if I am late?
Companies House filing is due 9 months after your year end (21 months from incorporation for a first period). Late filing brings automatic penalties of £150 to £1,500, doubling if it happens two years running, and corporation tax has its own deadlines (payment 9 months and 1 day after year end; return within 12 months).
