Option to Tax

Opting to tax lets you charge VAT on a commercial property and recover VAT on related costs — but it binds future transactions and can deter VAT-sensitive tenants and buyers. We handle option-to-tax analysis, HMRC notifications, revocation windows including the automatic revocation rules (such as the six-year rule for property no longer held), and the anti-avoidance provisions that can disapply an option.

Transfer of Going Concern (TOGC)

A qualifying TOGC takes a property sale outside the scope of VAT — often saving the buyer substantial VAT and SDLT on the VAT-inclusive price. The conditions are strict and time-sensitive (including option-to-tax notifications before completion), so we assess qualification early, coordinate with the lawyers and get the documentation right.

Capital Goods Scheme

The capital goods scheme adjusts input tax recovery over a 10-year period for certain property acquisitions and refurbishments. We identify when it applies, run the annual adjustments, and manage disposal and change-of-use calculations — because a forgotten CGS adjustment is a classic HMRC assessment.

Is commercial property rent subject to VAT?
By default commercial lettings are exempt — no VAT on rent, but no recovery of VAT on related costs. If the landlord opts to tax, rent becomes standard-rated and input VAT is recoverable. The right choice depends on your costs and your tenants' VAT position; we model both.
What is the option to tax?
An election to charge VAT on supplies of a commercial property, unlocking recovery of VAT on purchase, refurbishment and running costs. It's largely irreversible in the short term and follows the property, so it needs a deliberate decision and a correctly filed HMRC notification — both of which we handle.
Are new residential buildings zero-rated?
The first grant of a major interest in a new dwelling is generally zero-rated, which lets developers recover input VAT on construction. Qualifying conversions can also attract relief. The conditions are detailed, so we confirm the treatment before the project structure is fixed.
What is a TOGC and why does it matter?
A transfer of a going concern — for example a tenanted building sold with its letting business — is outside the scope of VAT if strict conditions are met, including buyer registration and option-to-tax notifications before completion. Done right it saves VAT and reduces SDLT; done wrong it creates assessments.
What is the capital goods scheme?
A mechanism that adjusts input VAT recovery on certain high-value property expenditure over 10 years as the use of the building changes between taxable and exempt. Anyone acquiring, refurbishing or changing the use of significant property should have CGS on their checklist — we run the adjustments.
